Notice of a change to the terms and conditions: On 25 October 2026 we published a change to the terms and conditions, which takes effect on 9 November 2026: section 3 — the price is always paid in two stages (50 % in advance and 50 % on completion and launch of the work) and an estimate for additional work may not rise by more than 10 % without the client’s consent; section 5 — the client uses the work under a licence, because the author’s economic rights cannot be transferred, and after the care plan ends we keep the code and content for a further 90 days; section 10 — liability for damage is not limited to a fixed amount; added time limits (sections 4 and 6), email addresses for contracts and complaints (sections 1, 8 and 9), confidentiality and archiving (section 12). We have also brought the terms into line with the law: information on concluding the contract (section 2), stating prices including VAT (section 3), terms of monthly services and their termination (section 4), an exclusive licence also to the source code and its scope (section 5), liability for defects (section 6), consumer withdrawal including contracts concluded off business premises (section 8), handling of consumer complaints (section 9), third-party services (section 10) and changes to the terms towards consumers (section 12). Contracts concluded before 9 November 2026 are governed by the original wording of section 3: smaller scope 50 % in advance / 50 % at launch; larger scope 50 % in advance / 25 % on approval of the design / 25 % at launch; for projects over €2,000, a different payment schedule may be agreed; the work is put into live operation only after the last agreed payment has been made.
Further change to the terms and conditions: On 26 October 2026 we published a further change, which takes effect on 9 November 2026: section 5 — we hand over a copy of the source code once the price of the work has been paid in full, and data can be exported for as long as we keep it. We have also added what follows for consumers from Act No. 108/2024 Coll. and the Civil Code: for a contract concluded during an unsolicited visit or at a sales event, we neither request nor accept any payment before the withdrawal period expires (section 3), and in such a case the consumer does not lose the right of withdrawal through full provision of the service (section 8); the time limit and rights when complaining about a defect (section 9). These consumer rights apply by law regardless of the effective date. Contracts concluded before 9 November 2026 are governed in section 5 by the previous wording: the client is entitled to a copy of the source code of the work and to an export of its data at any time during the cooperation and after it ends.
1. General provisions and identification of the provider

2. Order and conclusion of the contract
The contractual relationship arises on the basis of a written order (including by email), a signed contract for work, or the client’s acceptance of a price quote. A price quote is valid for 30 days from its issue, unless stated otherwise.
Every project begins with an initial consultation, during which the requirements, the scope of work and a preliminary schedule are defined. The contract is concluded in Slovak or, by agreement, in another language in which these terms and conditions are published. Before acceptance, the client may correct errors in the brief or in their details by replying to the price quote. The provider keeps the concluded contract (the price quote, its acceptance and these terms and conditions) and provides it to the client by email on request; the provider confirms receipt of an order by email without undue delay.
3. Price and payment terms
The prices of the services are stated in the price list on the website or in an individual price quote. Prices are stated exclusive of VAT; the price including 23% VAT is stated next to the price in the price list or in the price quote. For a consumer, the selling (final) price is the price including VAT.
Payment milestones: the price is always paid in two stages — 50 % in advance as a deposit and 50 % on completion and launch of the work, regardless of the scope and the amount of the price. Invoices are payable within 14 days of issue. If a consumer concludes the contract during a visit they had not requested in advance or at a sales event, the provider will neither request nor accept any payment before the withdrawal period (30 days) expires (Section 17(8) and Section 18(7) of Act No. 108/2024 Coll.).
Exception: the first automation from the menu in the price list is connected without advance payment, and the client pays for it only once it has been running for 7 calendar days without an error on the provider’s side; if the client’s systems cannot be connected, the client pays nothing. This applies to companies and sole traders (with a Company ID, IČO).
Work beyond the agreed scope is carried out by the provider only on the basis of a written agreement on scope and price. If the parties do not agree on a price, the hourly rate according to the price list applies; the provider announces the estimated number of hours in advance and will not exceed it by more than 10 % without the client’s written consent.
4. Performance and delivery
The delivery date is agreed individually for each project. The provider undertakes to keep the client informed of the progress of the work and of any changes to the schedule.
The client is obliged to provide the necessary cooperation — in particular materials, access and feedback within the agreed deadlines. A delay on the client’s side may affect the delivery date.
If the client fails to supply the necessary materials or does not respond for more than 30 days, the provider is entitled to invoice the work performed so far (work in progress) to the extent of the performance delivered.
The provider presents the client with a design of the work; the client approves it or submits comments within 5 working days of its presentation. The price includes 2 rounds of revisions, unless the parties agree otherwise.
Under a monthly website care plan, the provider responds to the client’s requests (a response means confirming the request and starting work on it) within 2 working days in the Basic Care plan and within 24 hours in the Care PLUS and Premium Care plans. If the website is unavailable or ordering or payment does not work, the provider starts resolving the issue within 24 hours under every plan. Monthly services (website care, operation of automations and the chatbot) are concluded for an indefinite period without a minimum term; the client may terminate them by email at any time with effect from the end of the calendar month. After the 3 months of care included in the price of a website, care continues only if the client expressly orders it.
5. Copyright
Under Section 20(2) of Act No. 185/2015 Coll. (the Copyright Act), the author’s economic rights cannot be transferred. The parties have agreed that, by way of derogation from Section 91(4) in conjunction with Section 90(4) of the Copyright Act, the economic rights to the computer program (source code) and to the other parts of the work created to order are exercised by the provider; the client uses the work under a licence pursuant to this section. Upon full payment of the price of the work, the provider grants the client an exclusive licence to the source code and to the other parts of the work created exclusively for the client (for example the graphic design); from the launch of the work until full payment of the price, the client may use the work to operate it and make it public on its domain. For templates and general components that the provider also uses in other projects, the provider grants the client a non-exclusive licence to use, modify and further develop the work. The licences are granted for all methods of use needed to operate, modify and further develop the work (in particular reproduction, adaptation, combination with another work and making available to the public) and without territorial restriction. The licences are granted for the entire duration of the economic rights and the remuneration for them is included in the price of the work; details are set out in the contract for work. The provider reserves the right to present the project in its portfolio, unless the parties agree otherwise.
The client is responsible for ensuring that the materials provided (texts, images, logos) do not infringe the rights of third parties.
The client is entitled to an export of its data at any time during the cooperation and after it ends, for as long as the provider keeps the data (next paragraph). The provider will hand over a copy of the source code of the work on request within 10 working days after the price of the work has been paid in full.
When the care plan ends, the provider hands over to the client, at the client’s request, the current source code and an export of the client’s content. Personal data are returned or deleted in accordance with the data processing agreement; the provider keeps the source code and the client’s content without personal data for a further 90 days after the website ceases to be operated, hands them over to the client on request and then deletes them.
6. Warranty terms
If the client is a consumer (B2C), the delivered work is covered by the statutory warranty of 24 months from its delivery (being made available), pursuant to the provisions of Act No. 40/1964 Coll., the Civil Code, on liability for defects (for a website and other digital content Section 852h; for performance supplied continuously, for example care, for the entire agreed period).
If the client is a business (B2B), the provider grants a contractual warranty of 12 months on the delivered work from its acceptance.
During the warranty period, we will repair free of charge any defects caused on the provider’s side. The warranty does not cover modifications made by the client or by a third party.
The provider remedies defects for which it is responsible free of charge within 10 working days of their notification, unless the parties agree on another reasonable period; for a consumer, always within 30 days at the latest. The provider starts remedying a defect that prevents the use of the website or of an essential function (for example orders or payments) without undue delay, as a rule within 24 hours of notification.
7. Withdrawal from the contract — business client (B2B)
The client (a business — a legal entity or a sole trader acting in the course of its business activity) may withdraw from the contract at any time by written notice. In that case, the client is obliged to pay for the work performed up to the moment of withdrawal. The provider may withdraw from the contract if the client fails to provide the necessary cooperation even after repeated requests.
8. Withdrawal from the contract — consumer (B2C)
If the client is a consumer (a natural person who, when concluding and performing the contract, is not acting within the scope of their trade or other business activity), they have the right, pursuant to Act No. 108/2024 Coll. on consumer protection, in the case of a distance contract or a contract concluded off the provider’s business premises (for example at a meeting at the client’s premises), to withdraw from the contract within 14 days of its conclusion (if the contract was concluded during a visit to the consumer that the consumer had not requested in advance or at a sales event, within 30 days), without giving any reason and without any penalty.
The consumer may exercise the right of withdrawal in writing at the address of the provider’s registered office (Školská 981/36, 931 01 Šamorín) or by email to zmluvy@vassweb.com. The consumer may also use the model withdrawal form set out below.
Consequences of withdrawal
The provider is obliged, without undue delay and no later than 14 days from the day on which the notice of withdrawal is received, to refund to the consumer all payments received from them under the contract, using the same means of payment as the consumer used, unless otherwise agreed with the consumer.
Starting the service before the 14 days have expired
The provider will start providing the service before the withdrawal period expires only if the consumer expressly requests it and, on a durable medium (for example by email), gives express consent to the start of the service and declares that they have been informed that once the service has been fully provided, they lose the right of withdrawal (Section 17(10) and (11) of Act No. 108/2024 Coll.). The provider will deliver a confirmation of this consent and declaration to the consumer by email. If the consumer withdraws from the contract after giving consent, they will pay the provider the price for the performance actually provided up to the day on which the notice of withdrawal is received, calculated proportionally from the total agreed price (Section 21(5) of Act No. 108/2024 Coll.).
Exceptions to the right of withdrawal
The consumer cannot withdraw from a contract the subject of which is:
a) the provision of a service, if its provision began with the express consent of the consumer and the consumer declared that they had been duly informed that by giving this consent they lose the right of withdrawal once the service has been fully provided, and if the service has been fully provided; this exception does not apply to a contract concluded during a visit to the consumer that the consumer had not requested in advance or at a sales event (Section 19(2) of Act No. 108/2024 Coll.);
b) the sale of goods or the provision of a service the price of which depends on fluctuations in the financial market which the provider cannot influence;
c) the supply of goods made to the consumer’s specifications or goods made to measure; this exception applies only to tangible goods, not to a website, an application or any other service or digital content;
d) the supply of digital content other than on a tangible medium, if its supply began with the express consent of the consumer and the consumer declared that they had been duly informed that by giving this consent they lose the right of withdrawal, and the provider has delivered to them a confirmation of that declaration and consent on a durable medium (for example by email).

9. Complaints and complaints procedure
A client who is a consumer (B2C) is entitled to lodge a complaint about a defect that becomes apparent within 24 months of delivery of the work (being made available); for performance supplied continuously, for example care, for the entire agreed period (Section 852h of the Civil Code). A client who is a business (B2B) is entitled to lodge a complaint within the contractual warranty period of 12 months from its acceptance. A complaint may be lodged in writing at the address of the provider’s registered office or by email to reklamacie@vassweb.com.
The provider is obliged to issue the consumer with a confirmation that the complaint has been lodged and to state in it the period within which the defect will be remedied; this period may not exceed 30 days from the date the complaint (notice of the defect) was lodged, unless a longer period is justified by an objective reason beyond the provider’s control. If the provider rejects liability for the defect, it will notify the consumer of the reasons in writing. If the defect is not remedied within this period, the consumer is entitled to a reasonable price reduction or may withdraw from the contract; the consumer also has these rights in the other cases under Section 852l(1) of the Civil Code (for example if the same defect recurs despite repair). The consumer cannot withdraw from the contract if the defect is minor (Section 852l(4) of the Civil Code).
10. Liability for damage
The provider is not liable for damage it did not cause by breaching its obligations, in particular damage caused by the client’s improper use of the work, by interventions of third parties that the provider could not prevent while complying with its obligations, by outages of third-party services arranged by the client itself (for example the client’s own hosting or domain registrar), or by force majeure (towards a business client, circumstances excluding liability under Section 374 of the Commercial Code). The provider does not limit its liability for damage towards consumers. Towards a business client, liability for damage is governed by the Commercial Code; the right to compensation for damage cannot be waived or limited in advance (Section 386(1) of the Commercial Code), and the contract for work may specify the amount of foreseeable damage (Section 379 of the Commercial Code).
11. Alternative dispute resolution
If a client who is a consumer is not satisfied with the way in which the provider handled their complaint, or believes that the provider has infringed their rights, they have the right to contact the provider with a request for redress. If the provider rejects the request or does not respond within 30 days, the consumer has the right to submit a proposal to initiate alternative dispute resolution to an ADR entity pursuant to Act No. 391/2015 Coll.
The competent ADR entity is the Slovak Trade Inspection (Slovenská obchodná inšpekcia, www.soi.sk/sk/alternativne-riesenie-spotrebitelskych-sporov.soi), or another authorised legal entity entered in the list of ADR entities kept by the Ministry of Economy of the Slovak Republic. The consumer may also submit a proposal to initiate alternative dispute resolution using the relevant form available on the website of the Slovak Trade Inspection.
12. Final provisions
These terms and conditions and all legal relations between the provider and the client are governed by the laws of the Slovak Republic, in particular Act No. 40/1964 Coll., the Civil Code, Act No. 513/1991 Coll., the Commercial Code, Act No. 108/2024 Coll. on consumer protection, Act No. 22/2004 Coll. on electronic commerce, Act No. 391/2015 Coll. on alternative resolution of consumer disputes, Regulation (EU) 2016/679 (GDPR) and Act No. 18/2018 Coll. on the protection of personal data.
The parties undertake to resolve any disputes primarily by agreement. If a dispute cannot be resolved by agreement, the general court of the Slovak Republic has jurisdiction. In addition, the consumer has the right to turn to an alternative dispute resolution body (see section 11) or to the supervisory authority — the Slovak Trade Inspection (Slovenská obchodná inšpekcia, SOI), SOI Inspectorate for the Trnava Region, Pekárska 23, 917 01 Trnava 1, www.soi.sk.
If any provision of these terms and conditions becomes invalid or ineffective, this does not affect the validity of the remaining provisions. The invalid or ineffective provision shall be replaced by a provision whose content and purpose come closest to the original one.
The provider reserves the right to amend these terms and conditions unilaterally due to changes in legislation, changes in the business environment or changes in business policy. The provider will inform clients of the changes via the website at least 14 days before the change takes effect. If the client does not agree with the proposed change, they have the right to withdraw from the contract. A contract with a consumer is governed by the version of the terms and conditions in force when it was concluded; a later change applies to it only with the consumer’s consent.
The parties keep confidential the confidential information of the other party that they learn in connection with the contract, for the duration of the contract and for 3 years after it ends; this obligation does not apply to publicly available information or to information whose disclosure is required by law.
The provider archives contracts and related documents for the duration of the contract and for 10 years after it ends, and invoices for 10 years following the year to which they relate.
These terms and conditions take effect on 8 April 2026.
The change to the terms and conditions published on 25 October 2026 takes effect on 9 November 2026.
The change to the terms and conditions published on 26 October 2026 takes effect on 9 November 2026.
